Marquee & Showcase Program Terms and Conditions

Marquee, Showcase and any other "Sponsored Recommendations" that Spotify AB or its applicable affiliate (collectively, "Spotify") may make available for booking via the Spotify for Artists web-based platform are governed by these opt-in terms and conditions (these "Terms") and the Spotify Master Advertising Terms and Conditions (collectively, the "Agreement"). By using Spotify for Artists to book your campaign, you are entering into a binding contract with Spotify. You shall be considered, as applicable, an "Advertiser" or an "Agency" under the Spotify Advertising Program Terms and Conditions.

This Program (i.e., booking campaigns via Spotify for Artists) is open only to Advertisers that are acting for business purposes. For greater certainty, campaign booking via Spotify for Artists is not open to "consumers" as contemplated in the applicable consumer protection laws, or anyone acting for personal, family, or household purposes.

The Agreement covers important information about booking campaigns via Spotify for Artists, including an agreement in the Spotify for Artists Terms and Conditions to resolve disputes that may arise between you and Spotify by arbitration on an individual basis instead of by class actions or jury trials.

For avoidance of doubt, there is no license to intellectual property needed to book campaigns via the Spotify for Artists web-based platform; consequently nothing in these terms and conditions should be deemed the provision of such a license.

  1. CAMPAIGN. You can book campaigns using Spotify for Artists solely for eligible content, which eligibility requirements will be provided to you by Spotify and may vary between format types (e.g., Marquee and Showcase have different eligibility requirements). The unit delivered to listeners shall be considered an "Ad" under the Spotify Advertising Program Terms and Conditions. The cover art for the promoted content, or any visual that you upload, will be used to create the Ad, and will be "Ad Materials" under the Spotify Advertising Program Terms and Conditions. The cover art or visual must comply with all Policies (as defined in the Spotify Advertising Program Terms and Conditions). These Policies include Spotify's Editorial Policies and all eligibility requirements specified by Spotify. If your Ad is rejected due to the cover art's or visual's failure to comply with Policies, you shall not be able to create an alternate Ad using other Ad Materials.

In addition to selecting the content promoted, you are responsible for setting and/or approving, as applicable, various parameters for the order, each subject to the limits set by Spotify and to Spotify approval. Upon your submission of your campaign booking request, Spotify reserves the right, in its sole discretion, to reject any Ad for any reason. Your campaign will end and stop delivering impressions as follows:

  • For Marquee: upon the earlier of (i) the date that your budget for the campaign has been reached or (ii) the date that is ten (10) days after the campaign start date.
  • For Showcase: upon the earlier of (i) the date that your budget for the campaign has been reached or (ii) the date that is fourteen (14) days after the campaign start date.

Spotify does not guarantee the performance of the Ads or that the Ads will fully reach the audience targeted. Spotify runs systems that attempt to detect fraudulent activity but Spotify is not responsible for such fraudulent activity or any technological issues that may affect the cost or performance of Ads or your campaign.

  1. ADD-ON SERVICES. From time to time, within the booking feature on Spotify for Artists, Spotify may make additional services and functionality available to you ("Add-On Services").

  2. CHARGES, PAYMENT AND TAXES.

i. Charges. You can pay for your campaign using your credit card on file with Spotify for Artists, or you can request that Spotify send you an invoice for payment, which request Spotify may grant or deny in its sole discretion. Using your applicable payment method, Spotify will bill you as follows:

  • Spotify will charge you for CPC Deliverables (as defined in the Spotify Advertising Program Terms and Conditions as unguaranteed deliverables sold on a cost per click basis). The predictability, forecasting, and conversions for CPC Deliverables may vary and guaranteed delivery, even delivery, and makegoods are not available. Impressions and other campaign metrics may be provided for tracking and informational purposes only, if at all. You will only be charged for the number of clicks that are delivered. For clarity, and without limiting the definition of click, a "save" on the unit is considered a billable click.

The total charge for a campaign will be less than or equal to your selected budget for such campaign. All charges are based on Spotify's tracking metrics. You will pay Spotify for all charges and costs it incurs in connection with booking your campaign in the currency designated by Spotify. You agree that any funds that have been paid by you with respect to your campaigns are nonrefundable and belong to Spotify.

ii. Payment. In order to book campaigns through Spotify for Artists, you must provide payment information for a form of payment that is currently available on and accepted by Spotify for Artists. You promise that any payment information that you submit to Spotify is true, accurate and complete, and you agree to keep it that way at all times.

iii. Payment Card. If you pay with a credit or other payment card, you will be required to provide Spotify or its third-party payment processor with a valid payment card number and associated payment information that you are authorized to use. By submitting that information to Spotify or to its third-party payment processor, you authorize Spotify or the payment processor (as applicable) to charge the card or other payment method for the charges at Spotify's convenience. Spotify or its third party payment processor may run one or more payment card authorization checks on the card before it is charged. You authorize Spotify or its third-party payment processor to store the payment card information and, if needed, to continue billing the card until the order for services has been fulfilled. If Spotify does not receive payment from your payment card or other payment method issuer or their agents, you remain obligated and agree to pay all amounts due upon request from Spotify or its agents.

iv. Past Due Amounts. If your payment method fails, Spotify may take steps to collect past due amounts using collection mechanisms it deems appropriate and may terminate any current or future purchase(s) of Spotify services, including in the middle of your campaign. You will pay all reasonable costs and expenses (including reasonable attorneys' fees) Spotify incurs in collecting any late payment of charges.

v. Taxes. Prices and fees are exclusive of VAT, GST, HST, sales taxes or other similar taxes, duties, charges or assessments ("Indirect taxes"). Indirect taxes will be added on top of agreed amounts as per local legislation. Each party shall be solely responsible for payment of all Indirect taxes it is legally obliged to pay arising as a result of this Agreement or otherwise. Taxes we collect, if any, will be listed separately on the invoice. You agree to make all payments of fees to us free and clear of, and without reduction for, any withholding taxes.

vi. Privacy. Spotify will process Advertiser's personal data in accordance with Spotify's Privacy Policy.

  1. EDITING, STOPPING, AND CANCELING CAMPAIGNS; TERMINATION. Unless otherwise provided for you as an option within the Spotify for Artists customer interface, once you book your campaign, you will not be able to edit, stop or cancel the campaign. If the Spotify for Artists interface provides you the option to stop the campaign, Ads may run for up to 24 hours after Spotify receives notice of cancellation. Payment must be made for all delivered clicks. In the event of termination of these Terms, all terms and conditions of these Terms will survive until all existing orders for Ads booked through Spotify for Artists have ended. Sections 3, 4, 5 and 6 of these Terms will survive termination or expiration.

  2. CREDITS. From time to time, eligible Advertisers may receive from Spotify promotional ad credit offers that can be applied towards campaigns booked via Spotify for Artists ("Offers"). Spotify may issue, or not issue, Offers to all Advertisers, or any subset of Advertisers, in its sole discretion. If an Offer is provided to an Agency, Agency may use the Offer only on behalf of Advertiser. Each Offer is subject to these terms and conditions and any terms and conditions stated in the Offer (the "Offer-Specific Terms"). Advertiser's acceptance and use of an Offer constitutes Advertiser's agreement to these terms and conditions and the Offer-Specific Terms. In the event of a conflict between these terms and conditions and any Offer-Specific Terms, the Offer-Specific Terms will prevail. To be eligible to receive and use an Offer, Advertiser must have booking functionality within their Spotify for Artists account, have an active Spotify for Artists account in good standing with no ongoing breaches of any terms and conditions with Spotify and pay with a credit card. Spotify may revoke an unclaimed Offer or terminate the Offer program at any time for any reason. Advertiser may be required to spend a minimum amount on Ads before an Offer can be redeemed. It is Advertiser's responsibility to monitor charges incurred for campaigns booked via Spotify for Artists. Advertiser will not be notified when the amount of the Offer has been used. Advertiser will be charged for all amounts that exceed the amount of the Offer. Redemption of an Offer may be limited to specific payment or billing types. Offers cannot be combined. Offers are limited-time promotions. Subject in all cases to Spotify's right to revoke an unclaimed Offer or terminate the Offer program, each Offer will expire on the date stated in the Offer or, if no expiration date is stated in the Offer, thirty (30) days after the date on which Spotify provides the Offer to Advertiser. If Advertiser does not redeem an Offer on or before the Offer expires, Advertiser will not be able to use the Offer or any unused part thereof. Offers may only be redeemed by the initial recipient, must not be sold or transferred, cannot be redeemed for money and have no cash value. Offers are void where prohibited by law.

  3. MISCELLANEOUS. (i) If there is any conflict or inconsistency between these Terms and the applicable Spotify Master Advertising Program Terms, the conflict shall be resolved according to the following order: (a) these Terms; (b) the Spotify for Artists Terms and Conditions; and (c) the applicable Spotify Advertising Program Terms. (ii) Spotify may amend the terms of the Agreement from time to time by publishing new versions of the terms of the Agreement on its website. Any revised terms will apply to any new purchases of goods or services that you make from Spotify after the time of publication of the new terms. Spotify reserves the right to materially modify or discontinue the Programs at any time without notice.
