Merch Program Terms and Conditions

The "Listing Merch on Spotify" Program ("Merch Program") is a Spotify for Artists Program (currently offered only in Beta) governed by these opt-in terms and conditions (these "Terms") and the Spotify for Artists Terms and Conditions. By using Spotify for Artists, you have agreed to the Spotify for Artists Terms and Conditions, and by participating in the Merch Program, you agree to these Terms, which constitute a binding contract with Spotify. These Terms and the Spotify for Artists Terms and Conditions shall be considered, collectively, the "Merch Agreement."

The Merch Program is open only to Spotify for Artists users that are acting for business purposes. For greater certainty, the Merch Program is not open to "consumers" as contemplated in the applicable consumer protection laws, or anyone acting for personal, family, or household purposes.

The Merch Agreement covers important information about the Merch Program, including an agreement in the Spotify for Artists Terms and Conditions to resolve disputes that may arise between you and Spotify by arbitration on an individual basis instead of by class actions or jury trials.

1. THE MERCH PROGRAM. The Merch Program enables artists to display goods and experiences to their fans on Spotify. Spotify offers the ability to connect your third party vendor E-commerce store ("Third Party Store"), as indicated to you separately, to your Spotify for Artist Account ("Merch Program"). Through the Merch Program, you may display your Third Party Store goods and experiences ("Merch") to your fans on the Spotify Service, subject always to Spotify's limitations and restrictions in effect from time to time. Fans who want to proceed with a transaction are redirected from the Spotify Service to a standalone buying experience hosted by the Third Party Store's vendor.

2. SPOTIFY'S ROLE. You acknowledge that Spotify is not the merchant of record for any transaction on your Third Party Store completed as a result of or connected to the Merch Program. Consequently, Spotify will play no role, and is not responsible for, goods fulfilment, returns, refunds, taxes etc. for transactions on your Third Party Store.

3. LICENSE. Once you display Merch on Spotify through the Merch Program, it will be considered User Content as defined in the Spotify for Artists Terms. This means, among other things, that you license that User Content to Spotify as set forth in Section 6 of the Spotify for Artists Terms.

4. POLICIES. Your Merch and your use of the Merch Program should comply with our policies posted on Spotify for Artists or as otherwise presented to you. Please make sure to read closely those policies as well as the Spotify for Artist Terms to understand your full obligations regarding your use of the Merch Program. Spotify has the right to remove Merch at any time without prior notice, including without limitation Merch that does not comply with applicable policies or that is otherwise damaging to Spotify's business.

5. ACKNOWLEDGEMENTS. You acknowledge that:

a. this is a Beta Feature only, and that Spotify may make changes to the features and functionality during or after the beta program by providing you with prior notice;

b. Spotify does not guarantee, and is not responsible for, your achieving any revenue as a result of participating in this Program;

c. Spotify may end the Merch Program at any time and does not guarantee your continued access to the Merch Program or any equivalent feature or functionality;

d. Spotify may, at its own discretion, end your participation in and access to the Merch Program at any time without prior notice.

e. You may end your participation in the Program at any time by disabling the Merch Program.

f. You agree to comply with all applicable laws and regulations when using the Merch Program. Without limiting the above, you acknowledge that you are solely responsible for complying with all applicable terms and requirements in connection with your use of your Third Party Store.
