Discovery Mode Self-Serve Terms and Conditions

The Discovery Mode self-serve feature (the "Program") is a Spotify for Artists Program governed by these opt-in terms and conditions (these "Terms") and the Spotify for Artists Terms and Conditions. By using Spotify for Artists, you have agreed to the Spotify for Artists Terms and Conditions, and by participating in the Program, you agree to these Terms, which constitute a binding contract with Spotify. In these Terms, "you" or "your" includes the entity, organization or business that you represent (including without limitation, a recording artist or a record label) (your "Subscribing Entity"), and you warrant that you are authorized to bind your Subscribing Entity to these Terms.

1. THE PROGRAM. The Program provides tools that enable artists and their teams to select eligible songs for inclusion in Spotify's Discovery Mode program as well as to access Discovery Mode campaign reporting. The Program is currently available to invited artists that distribute their music to Spotify through a participant in our Discovery Mode program ("Distributor"). Through the Program, you can create monthly Discovery Mode campaigns by selecting at least one song as set forth in these Terms.

2. OPT IN PROCESS.

a. To select songs for inclusion in the Program, they must fit the eligibility requirements set by Spotify, which are described here. You must also only opt in songs (i) that are made available on Spotify via a participating Distributor, (ii) that your Subscribing Entity owns or controls, and (iii) that you are fully authorized to opt into the Discovery Mode program (e.g., if you are one artist on a multi-artist track, you should only opt in a song if you have the full authorization and right to do so from your Distributor and the other artists on the song).

b. Subject to Section 2c below, songs must be opted into the Program on a monthly basis, prior to the deadline communicated to you by Spotify. In order for your songs to be included in the Discovery Mode program for a particular month, you must select your songs in accordance with the instructions (including deadlines) provided by Spotify. Campaigns are modifiable and fully cancellable until the opt-in deadline provided by Spotify. After each particular month's opt-in deadline and for each such monthly period, your selections cannot be modified and you will only have the ability to cancel the campaign, with the cancellation only effective for the remainder of the monthly period. Except as provided in Section 2c below, your opted-in songs will be automatically opted out at the conclusion of each monthly period, and you will need to opt in your songs for subsequent months for which you want them included in the Discovery Mode Program.

c. When selecting your songs, you may be prompted to select and confirm whether you want to have the campaign you are setting up either repeat on an ongoing monthly basis or terminate at the end of the month for which you are setting up the campaign. If you choose to have your campaigns be ongoing, you must turn off that ongoing selection if you want to opt your songs out of the Program, otherwise your selected songs will continue to be opted in on a monthly basis. If you select a one-month period of time, your songs will be automatically opted out at the end of the month as set forth in Section 2b.

d. For clarification, selections for Discovery Mode are made at the song level, not at the track identifier level. A particular song may have more than one track identifier, known as the "Track URI" (for example, if the song is released both as a single and in an album). If you select a song to opt into the Discovery Mode Program, all eligible Track URIs for that song are opted into the Discovery Mode program. If a new version of a selected song is released during an active campaign and eligible for Discovery Mode, that eligible version's additional Track URI will be automatically opted into the Discovery Mode program.

3. COST. When you opt an eligible song into Spotify's Discovery Mode program, and Spotify includes that song in a Discovery Mode campaign, Spotify deducts a fee from recording royalties generated from all streams of that song's eligible Track URIs within listening sessions where the Discovery Mode program is enabled ("Discovery Mode Contexts"), including new eligible Track URIs released during an active campaign. Discovery Mode Contexts are listed here. The fee(s) will be communicated to you by Spotify. All other streams of the song in playlist sets outside of Discovery Mode Contexts will not have a fee assessed to them. This fee is applied against Spotify royalty statements associated with the month in which the applicable stream(s) of the opted-in songs occur, as provided to your Distributor. You will continue to be paid royalties through your Distributor and pursuant to any terms to which you have agreed with your Distributor. Spotify is not a party to your agreement with your Distributor and has no liability or responsibility for any terms or obligations within such agreement.

4. ACKNOWLEDGEMENTS. You acknowledge that:

a. As more fully described above, there is a fee associated with your optional participation in the Discovery Mode Program. You must not opt any songs into this Discovery Mode Program unless you are fully authorized to make financial decisions on behalf of the relevant Subscribing Entity.

b. Spotify does not guarantee, and is not responsible for, your achieving any revenue or other business objective as a result of participating in this Program. For the avoidance of doubt, Discovery Mode does not (1) guarantee placement of content onto Spotify playlists, (2) guarantee streams, or (3) guarantee new artist listeners or followers.

c. Nothing contained in these Terms shall be construed as creating any partnership, independent contractor relationship, joint venture or other form of joint enterprise, employment or fiduciary relationship between you and Spotify.

d. Spotify, at its own discretion, may end the Program at any time and does not guarantee your continued access to the Program or any equivalent feature or functionality.
